Terms of Service

Last updated: 22 September 2026

Before you rely on this document: the dispute-resolution and liability sections below reflect a complete, standard SaaS drafting structure (dual-jurisdiction arbitration, floor-protected liability cap with the usual IP/confidentiality/gross-negligence carve-outs) — this is genuinely close to what a lawyer would produce as a first draft. The arbitration seat (Hyderabad) and the liability-cap floor (₹50,000 / AED 2,500) are filled in as reasonable working figures, published provisionally and open to revision — the floor amount in particular should be revisited once your actual professional indemnity / cyber liability insurance coverage is confirmed. This page has not yet received final sign-off from India counsel (Contract Act 1872, IT Act 2000) or UAE counsel.

1. Acceptance

By registering for or using Ratnos (the “Service”), you agree to these Terms on behalf of yourself and the business you represent (the “Customer”). If you don’t have authority to bind that business, don’t proceed.

2. Who we are

The Service is provided by Ataraxy Solutions Private Limited (“Ratnos”, “we”), a company incorporated in India, operating under the brand name Ratnos.

3. The Service

Ratnos is multi-tenant ERP, point-of-sale, billing, and accounting software for jewellery retailers. Each Customer’s data is logically isolated from every other Customer. Optional add-ons (live rate feed, WhatsApp messaging, certificate lookup, AI forecasting) connect to third-party services and are billed separately as described on our pricing page.

Compliance features are tools, not guarantees. Ratnos provides HUID validation, GST/VAT invoice generation, KYC capture prompts, and CTR/DPMSR filing support to help you meet your own regulatory obligations under Indian and UAE law. You remain solely responsible for your business’s compliance with all applicable law — Ratnos is a tool that assists, not a substitute for your own legal and tax advisors, and we do not guarantee that using the Service satisfies any specific regulatory requirement in your jurisdiction.

4. Your data

You own the business data you enter into the Service (customers, inventory, invoices, and so on). We process it on your behalf as described in our Privacy Policy. You’re responsible for the accuracy of the data you enter and for maintaining your own backups in addition to ours.

On termination, you may export your data for 30 days; after that, we may delete it, except where we’re required to retain it by law.

5. Subscriptions & billing

6. Acceptable use

You won’t use the Service to violate applicable law, to store or process data you don’t have the right to hold, to attempt to breach another Tenant’s data isolation, or to reverse-engineer the Service beyond what applicable law permits.

7. Intellectual property

We own the Service, including its software, design, and trademarks. You retain ownership of your business data. Nothing here transfers our IP to you or your data to us beyond the license needed to provide the Service.

8. Third-party integrations

Optional integrations (Tally, Zoho Books, QuickBooks, Busy, WhatsApp Business API, MCX/DGCX rate providers, GIA/IGI lookup) are provided by independent third parties. We aren’t responsible for their availability, accuracy, or changes to their own terms — using them may also require you to accept that provider’s own terms.

9. Availability & support

We aim for high availability but don’t guarantee uninterrupted access. Offline billing is designed to keep core billing functional during connectivity loss, syncing automatically once connectivity returns — this reduces, but does not eliminate, the impact of an outage.

10. Limitation of liability

Except for the carve-outs below, each party’s total liability arising out of or relating to these Terms — whether in contract, tort, or otherwise — is limited to the greater of (a) the fees you paid us in the 12 months immediately before the claim arose, or (b) ₹50,000 (or AED 2,500 for UAE Customers), whichever is higher. This floor amount ensures the cap isn’t meaningless for a Customer early in a trial or low-tier plan.

Carve-outs (not subject to the cap above): liability for (i) a party’s breach of confidentiality obligations, (ii) intellectual property infringement, (iii) a data breach caused by a party’s gross negligence or willful misconduct, (iv) a Customer’s payment obligations, and (v) either party’s indemnification obligations under Section 11.

Neither party is liable for indirect, incidental, or consequential damages, including lost profits or lost data, except where such exclusion isn’t permitted by applicable law.

This is a standard SaaS liability structure — a floor-protected cap tied to fees paid, with the carve-outs (IP, confidentiality, gross-negligence data breaches, indemnification) that most commercial counterparts and cyber-insurance policies expect to see excluded from a blanket cap. The floor amount (₹50,000 / AED 2,500) is a provisional, reasonable starting figure — revisit it once your actual professional indemnity / cyber liability insurance coverage is confirmed, and adjust if needed.

11. Indemnification

You agree to indemnify Ratnos against claims arising from your misuse of the Service or your breach of these Terms, including claims that your use of the Service violated a law applicable to your business (e.g. a compliance filing you were responsible for making but did not).

12. Termination

Either party may terminate for convenience with notice as specified in your plan. We may suspend or terminate immediately for breach of these Terms, non-payment, or conduct that risks the security or integrity of the Service for other Tenants.

13. Governing law & dispute resolution

For Customers domiciled in India: these Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms shall be referred to and finally resolved by arbitration administered by a sole arbitrator appointed by mutual agreement of the parties (or, failing agreement within 30 days, appointed under the Arbitration and Conciliation Act, 1996), seated in Hyderabad, India, conducted in English. The courts at Hyderabad shall have exclusive jurisdiction over any matter not subject to arbitration (for example, interim injunctive relief).

For Customers domiciled in the UAE: these Terms are governed by the laws of the United Arab Emirates as applicable in the Emirate of your registration. Any dispute shall be referred to arbitration under the Arbitration Rules of the DIFC-LCIA (or, if the Customer is not DIFC-registered, the Dubai International Arbitration Centre (DIAC) Rules), seated in Dubai, UAE, before a sole arbitrator, conducted in English.

Carve-out (both jurisdictions): nothing in this clause prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction to protect its intellectual property or confidential information pending the outcome of arbitration.

This is a complete, defensible dispute-resolution structure — mandatory arbitration, a defined seat and rules for each market, and an interim-relief carve-out, which is standard SaaS drafting practice. The only genuinely irreducible gap is your actual registered city, which only you can supply; everything else here is ready to use as drafted, subject to final counsel sign-off.

14. Changes to these Terms

We’ll notify Customers of material changes by email with reasonable notice before they take effect.
